Describe the proposed change

Identify who is buying which shares, the relevant date and what else is included in the arrangement. A shareholder loan or separate contractual payment is a different component to record. Keep those items visible so a combined total is not mistaken for the value of the shares alone.

Make proposals comparable

A price paid now and the same headline amount paid in instalments have different timing and risk assumptions. Compare the proposed conditions, cash timetable and information supporting the offer. A financial illustration can explain scenarios; legal protections and enforceability require the solicitor’s input.

Use evidence rather than an assumed formula

A straight percentage of a whole-company estimate does not answer every share-transfer question. The required treatment depends on the holding, purpose, facts and instructions. Start by assembling the ownership documents and financial records. Do not assume a universal minority discount or a guaranteed settlement outcome.

Compare a shareholder exit in separate components

Consider a hypothetical proposal of £240,000 for shares plus repayment of a £30,000 shareholder loan. The combined £270,000 is not all a share price. If £60,000 of the share price is deferred, completion cash is £180,000 for the shares plus the loan repayment, assuming that repayment occurs at completion.

Record separately the shares transferred, loan balance, payment dates, conditions and any proposed retention. Check whether the business or another shareholder is the proposed buyer: the structure and required legal and tax advice can differ.

This illustrates payment arithmetic, not the value of a holding. Obtain advice on the actual transaction and any company purchase of its own shares.

Questions about this scope

Is a shareholder buyout always a company share buyback?

No. Another shareholder or third party may buy the shares, or the company may propose to buy its own shares. The structure has different legal, funding and tax considerations.

Should a shareholder loan be included in the share price?

Record it separately and agree its treatment. Combining the loan and shares into one headline amount can obscure what is being paid for each component.

Clear questions.
Useful answers.

Can I get an instant share valuation?

No. A share valuation needs a defined interest, date, purpose and supporting evidence. The tools on this site help prepare a question or illustrate ownership arithmetic; they do not produce a value.

Who is behind this website?

Consult EFC. Enquiries are handled by Kishen Patel, BFP ACA, an ICAEW Chartered Accountant. The related Consult EFC websites offer different routes into its services.

Will a report be suitable for tax or legal proceedings?

That requires a specific suitability, scope and intended-use assessment. A commercial enquiry or planning report does not automatically meet those requirements.

Where do you work?

Remote enquiries are welcome from businesses and shareholders across the UK. Any meeting or information-sharing requirements are agreed when scoping the work.
