Identify each number
Operating-business value, equity value and the value of a particular holding are related but different questions. A figure should say which interest it concerns and the assumptions behind it. Do not move between the labels during a negotiation without explaining the calculation and terms.
A simplified bridge
Illustration only: an assumed operating-business value of £1 million, less £200,000 debt and plus £50,000 cash, gives £850,000 before other adjustments. This is arithmetic, not a valuation opinion or a definition of cash and debt for a transaction. The relevant basis and agreement determine the actual treatment.
Then consider the holding
A proportional calculation using that illustrative equity figure still does not establish the value of a specific holding. Share rights, restrictions, purpose and instructions need consideration. A shareholder’s receipts can also differ because of separate balances, costs or payment terms. The useful next step is to label every stage of the proposed analysis.
